Terms of Service
The platform terms covering eligibility, wallets, offerings, rights, funding, market activity, availability, content, and disputes.

1. Agreement and Scope
These Terms of Service govern your access to and use of the Yokefellow platform, including the Yokefellow website, apps, buckets, offerings, account surfaces, wallet-linked features, APIs, SDK-connected services, NFT-related surfaces, market-related surfaces, and related tools, records, and content.
By accessing or using Yokefellow, you agree to these Terms. If you do not agree, do not access or use the platform.
Yokefellow is a platform for programmable participation, funding, offerings, NFT-backed outputs, and app-layer activity. These Terms apply to the platform as a whole, including participant-facing and operator-facing surfaces, unless a separate written agreement expressly governs a specific service or relationship.
2. Eligibility
You may use Yokefellow only if you are old enough to enter a binding agreement, have the legal capacity to do so, and are otherwise permitted to use the platform under the laws that apply to you. If you use Yokefellow on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.
You may not use Yokefellow if you are located in, ordinarily resident in, or acting from a jurisdiction where use of the platform would be unlawful, prohibited, or sanction-restricted, or if you are subject to sanctions, export restrictions, or other legal prohibitions that would make your use unlawful.
Yokefellow may limit or refuse access to any user, wallet, entity, jurisdiction, offering type, or platform surface where Yokefellow believes doing so is necessary for legal compliance, sanctions compliance, security, abuse prevention, operational safety, or platform integrity.
3. Changes to the Platform and Terms
Yokefellow may modify, suspend, restrict, discontinue, or remove all or part of the platform at any time, with or without prior notice, to the extent permitted by law.
Yokefellow may also update these Terms from time to time. Updated Terms become effective when posted or on the later effective date stated in the updated version. If you continue to use the platform after updated Terms become effective, you agree to the updated Terms.
If Yokefellow makes a material change to these Terms, Yokefellow may provide notice through the platform, by email, or by another reasonable method, but you remain responsible for reviewing the current Terms before continuing to use the platform.
4. Accounts, Wallets, and Access
Some Yokefellow features may be visible without a connected wallet. Other features require a wallet connection, signature, transaction, API credential, app key, account-linked credential, or other access step.
You are solely responsible for the wallets, devices, keys, seed phrases, browser extensions, signatures, API credentials, transactions, and access methods you use in connection with Yokefellow. Yokefellow does not control your wallet and cannot recover lost keys or reverse every mistaken signature or blockchain action.
You are responsible for verifying what you sign, what transaction you submit, what network you are using, what contract address you are interacting with, and what action the platform or wallet interface is asking you to approve.
Yokefellow is not responsible for losses arising from lost keys, compromised devices, phishing, malicious wallet software, incorrect wallet interactions, incorrect signatures, incorrect transactions, use of the wrong network, use of the wrong contract or address, or failure to secure your access credentials.
5. Use of the Platform
You may use Yokefellow only for lawful purposes and only in a manner consistent with these Terms, applicable law, and any additional rules, restrictions, or conditions that appear on the platform or in connection with a particular bucket, offering, or surface.
You may not, and may not permit or assist others to:
violate law, regulation, sanctions rules, or third-party rights;
defraud, deceive, manipulate, impersonate, or misrepresent yourself or your authority;
interfere with, damage, disable, overburden, or disrupt the platform or its supporting infrastructure;
attempt unauthorized access to accounts, wallets, buckets, contracts, APIs, queues, operator tools, or protected platform surfaces;
exploit bugs, stale states, race conditions, security issues, or unintended logic for advantage;
scrape, harvest, mirror, or bulk extract platform data except as expressly permitted;
upload, publish, or distribute unlawful, abusive, infringing, fraudulent, misleading, or malicious content;
distribute malware, spam, harmful code, or abusive automation through or against the platform;
misuse offerings, NFT outputs, request paths, queues, builder tools, or operator surfaces in ways inconsistent with their stated structure; or
use the platform in a manner that could expose Yokefellow, its users, or third parties to legal, security, or operational harm.
6. Buckets, Offerings, and Operator-Issued Content
Buckets, offerings, updates, receipts, policy surfaces, documents, NFTs, metadata, and many other user-facing records on Yokefellow may be created, managed, or fulfilled by third-party operators rather than by Yokefellow itself.
Yokefellow may host, display, or facilitate access to operator-created content and operator-run participation paths, but Yokefellow does not automatically endorse, verify, or guarantee any operator, bucket, offering, fulfillment claim, or associated record shown on the platform.
Operators may define terms, conditions, limits, eligibility rules, review paths, fulfillment rules, utility, transfer posture, redemption posture, or NFT-linked behavior within their own buckets. Operator-issued content may be incomplete, inaccurate, delayed, misleading, disputed, or poorly fulfilled.
If you participate in a bucket or offering, you are responsible for reviewing the bucket, the offering, the policy surface, and any related disclosures before you act. If you operate a bucket, you are responsible for the content, pricing, descriptions, eligibility rules, review decisions, queue handling, fulfillment actions, receipts, proof, disclosures, and other materials or actions associated with your bucket.
7. Offerings, Rights, NFTs, and Expectations
An offering is the structured way a bucket makes participation available. A right is the access, participation ability, privilege, status, permission, utility, or other user-facing value a person may receive through an offering. NFT-backed outputs may carry those rights, but neither an offering nor an NFT should be read more broadly than its stated structure.
By using Yokefellow, you acknowledge that not every offering is a sale, not every path resolves instantly, not every NFT means the same thing, and not every right is permanent, transferable, unrestricted, or platform-wide.
You also acknowledge that some outputs are meaningful only in their issuing bucket, linked app, or stated surface; some paths depend on request, application, review, queue processing, delayed resolution, or operator action; and some outputs may carry conditions, limits, depletion logic, redemption state, or other lifecycle changes that affect their meaning.
You agree to read offerings, rights, NFTs, bucket context, conditions, fulfillment structure, and disclosed limitations together rather than relying on assumption, label, or implication alone.
8. Funding, Transactions, Market Activity, Fees, Taxes, and Refunds
Some uses of Yokefellow involve wallet signatures, onchain transactions, YES movement, deposits, withdrawals, transfers, market activity, settlement-related actions, and other lifecycle-driven flows. These actions may fail, be delayed, revert, partially complete, require additional steps, remain pending, or settle differently than you expected.
Blockchain transactions may be irreversible once submitted or confirmed. Yokefellow may not be able to reverse, cancel, unwind, or recover a transaction after it has been broadcast, mined, matched, or otherwise finalized onchain or through related platform logic.
Prices may move, liquidity may change, slippage may occur, gas or network conditions may affect execution, and platform state may lag underlying chain state. A successful wallet action does not always mean the full platform-side lifecycle is complete, and a successful platform response does not always mean the underlying wallet-side or chain-side step has completed.
You are responsible for all gas fees, network fees, taxes, duties, withholdings, and similar charges associated with your use of Yokefellow unless Yokefellow expressly states otherwise for a specific surface. You are also responsible for determining what taxes apply to your use of the platform and for reporting and paying those taxes.
Any platform fee, operator fee, bucket-specific fee, or market fee disclosed in connection with a surface or transaction may apply to your use of that surface or transaction. Unless otherwise required by law or expressly stated for a specific offering or platform rule, payments, gas costs, network fees, and completed transactions are non-refundable.
9. Platform Availability, Offchain Services, and Third-Party Services
Yokefellow includes both onchain and offchain components. Some platform behavior depends on apps, APIs, databases, queues, indexers, storage layers, analytics systems, hosting providers, RPC providers, wallet software, blockchain networks, and other supporting services.
Yokefellow does not guarantee uninterrupted platform availability, real-time indexing, perfect freshness, error-free operation, complete metadata delivery, or continuous access to any feature, surface, or record. A degraded or stale platform surface does not necessarily mean the underlying chain state is invalid, but it may affect what you can see, verify, coordinate, or do at a given time.
Third-party services, including wallets, browsers, extensions, RPC endpoints, explorers, storage providers, analytics providers, payment services, identity tools, and other external tools, are outside Yokefellow’s control. Yokefellow is not responsible for third-party services or for third-party downtime, failures, acts, or omissions.
10. Intellectual Property and User Content
Except for user, operator, or third-party content, Yokefellow and its licensors own the platform, including its software, interface design, branding, text, graphics, compilations, and other platform materials. These Terms do not grant you any ownership interest in Yokefellow intellectual property.
Subject to these Terms, Yokefellow grants you a limited, non-exclusive, non-transferable, revocable right to access and use the platform for its intended purposes.
If you upload, post, publish, submit, or otherwise provide content to Yokefellow, including bucket descriptions, offering text, images, documents, receipts, updates, metadata, or similar materials, you represent and warrant that you have all rights necessary to provide that content and to permit Yokefellow to use it as described in these Terms.
You grant Yokefellow a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and modify that content as reasonably necessary to operate, maintain, improve, secure, document, and present the platform, and to comply with law, enforce rights, preserve records, and resolve disputes.
You remain responsible for your content. Yokefellow may remove, restrict, preserve, or disable content where Yokefellow believes doing so is necessary for legal compliance, enforcement, safety, rights protection, platform integrity, record preservation, or operational reasons.
11. Enforcement, Suspension, and Removal
Yokefellow may investigate, suspend, disable, restrict, remove, or terminate access to accounts, wallets, buckets, offerings, API credentials, app keys, operator surfaces, builder surfaces, content, or other platform access where Yokefellow believes doing so is necessary to enforce these Terms, comply with law, respond to legal process, reduce abuse, protect users, preserve platform integrity, or address security or operational concerns.
This may include action based on suspected fraud, prohibited conduct, sanctions concerns, abusive or unsafe content, manipulation of offerings or market surfaces, technical attacks, misuse of operator or builder access, repeated failure to honor operator responsibilities, or other conduct Yokefellow considers harmful to the platform or its users.
Yokefellow may take protective action before completing a full investigation where Yokefellow reasonably believes immediate action is necessary. Yokefellow is not required to provide access indefinitely and is not obligated to restore access in every case.
12. No Advice
Yokefellow does not provide investment, legal, tax, accounting, fiduciary, or other professional advice through the platform unless Yokefellow expressly states otherwise in a separate written agreement.
Any information, content, discussion, market data, bucket description, operator statement, analytics surface, or platform output is provided for general informational purposes only and should not be treated as professional advice or as a recommendation to buy, sell, enter, hold, redeem, transfer, or refrain from entering any transaction or participation path.
You are responsible for your own decisions and for obtaining independent advice where appropriate.
13. No Guarantees and Platform Disclaimers
Yokefellow is a structured participation platform, not a guarantee engine. Yokefellow does not guarantee profit, return, appreciation, successful fulfillment by operators, favorable market conditions, continuous liquidity, uninterrupted access, immediate issuance, permanent access, unrestricted utility, legal suitability in every jurisdiction, or the successful completion of every bucket, offering, or initiative.
To the maximum extent permitted by law, the platform is provided on an “as is” and “as available” basis. Yokefellow disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, accuracy, completeness, or error-free performance.
Without limiting the foregoing, Yokefellow does not warrant that the platform will always be available, current, accurate, synchronized, secure, or complete; that operator-issued materials will be accurate or well fulfilled; that metadata or wallet displays will update immediately; that every request or queue path will resolve on your preferred timeline; or that every operator, builder, or participant will perform as expected.
Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you to the extent prohibited by law.
14. Limitation of Liability
To the maximum extent permitted by law, Yokefellow and its affiliates, officers, directors, employees, contractors, licensors, service providers, and related parties will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, or for any loss of profits, revenues, data, goodwill, business opportunity, digital assets, wallet access, expected value, or other intangible losses, arising out of or relating to the platform or these Terms, whether based in contract, tort, strict liability, or any other legal theory, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Yokefellow’s total aggregate liability for all claims arising out of or relating to the platform or these Terms will not exceed the greater of: (a) the amount you paid directly to Yokefellow, if any, for the specific service at issue during the twelve months before the event giving rise to the claim; or (b) US$100.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
15. Indemnification
You agree to defend, indemnify, and hold harmless Yokefellow and its affiliates, officers, directors, employees, contractors, licensors, service providers, and related parties from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
your access to or use of the platform;
your violation of these Terms or applicable law;
your content;
your bucket operation, offering structure, disclosures, fulfillment actions, or operator-issued materials;
your misuse of wallets, APIs, buckets, offerings, queues, or builder access; or
your infringement or violation of any third-party right.
16. Disputes and Governing Law
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the platform will be governed by the laws of the State of [State], without regard to its conflict-of-laws principles.
Any dispute that is not subject to a valid written arbitration agreement will be brought exclusively in the state or federal courts located in Detroit Michigan, and you and Yokefellow consent to the personal jurisdiction and venue of those courts.
Before filing a formal claim, each party agrees to try in good faith to resolve the dispute informally by providing written notice to the other party describing the nature of the dispute and the requested relief. If the dispute is not resolved within [30] days after notice is received, either party may proceed with a formal claim.
17. Notices, Severability, Assignment, and Survival
Yokefellow may provide notices to you by posting them on the platform, by sending them to an email address associated with your account or relationship with the platform, or by any other reasonable method. You may send legal notices to Yokefellow at legal@yokefellow.io
If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
Yokefellow may assign or transfer these Terms, and any rights or obligations under them, without restriction to the extent permitted by law. You may not assign or transfer your rights or obligations under these Terms without Yokefellow’s prior written consent.
Any provisions that by their nature should survive suspension, termination, or expiration of these Terms will survive, including provisions relating to intellectual property, licenses, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, record preservation, payment obligations, and enforcement rights.
18. Entire Agreement
These Terms, together with any incorporated policies, platform notices, bucket-specific rules, offering-specific disclosures, operator-facing agreements, builder-facing agreements, or other terms that expressly apply to a particular surface, form the entire agreement between you and Yokefellow regarding your use of the platform, unless a separate written agreement expressly governs a specific relationship or service.
These Terms supersede all prior or contemporaneous understandings regarding the same subject matter to the extent permitted by law.
